Any person registering to bid in this sale on any item listed in our catalogue agrees to the terms and conditions binding same. Any person that has any reservation or objection to these terms and conditions should not register to bid as all bidders are legally bound to these terms of bidding, all sale terms and terms & conditions will require to be fully agreed to prior to any bidders account being approved.

 

All Bidders should note that this is a "TRADE ONLY" sale as against a consumer sale. For all purpose and intent in this terms and conditions, a trade only sale means that rights of customers shall not apply as all bids submitted are valid without exceptions, vendors reserve the right to vary, alter or remove any reserve price set at any given time throughout the sale. All Bidders have a duty to carefully read and understand the all terms and conditions before registering / agreeing to them. Upon registration, terms & conditions contained herein becomes legally binding on the Bidder. 2. Account Holder / Information:

 

Personal account login details are to be kept strictly confidential by the account holder and not to be shared with anyone. The account holder shall bear responsibility for all bidding activities on their account. Accordingly, account holders shall in all events, bear full responsibility for bids submitted on their behalf by any family member, friend, employee or any other person at all.

 

3. Provisional Bids:

 

Bidder agrees that all bids submitted are valid with no exceptions and shall upon submission, not be removed. 365 Consultancy Ltd may invoice under bidders upon discretion of the vendors. All bids submitted are provisional unless the reserve has been met.

 

Bidders agree that under bidders may be invoiced, owing to previous bidding history and account information on the winning bidder, in the event that this occurs, the under bidder will be invoiced within 48 hours after sale ends.

 

365 Consultancy Ltd may contact vendors to allow time to put all bids forward for consideration, all provisional bids will be answered within 48 hours after close of sale.

4. Buyers Premium Commission and charges

 

Buyers premium commission is applicable to all items and charged in relation to the Hammer Price. See "Additional fees tab" for more information.

 

All buyers premiums are liable to 20% vat.

 

Bidders are to note that commission rates may vary from lot to lot depending on the particular item. Buyers are advised to always check the ‘Additional Fees’ tab located on each particular item prior to submitting any bid.

 

VAT will be charged at the current U.K rate of 20%, Please see the "Additional fees tab" to clarify if lots are being sold "PLUS VAT"

 

Bidders also have a responsibility to fully calculate the total amount including: hammer / bid price, buyer’s commission and VAT where applicable. No exceptions !

Disbursements fees

These are the additional charges incurred by the purchaser at the fall of the hammer in addition to the standard buyer’s premium rates, administration charges and other standard costs of sale mentioned in our literature. Disbursement or “DIS” charges are set out by the vendor for a specific lot to recover charges they have incurred but are not limited to e.g. transportation, professional marketing costs, independent valuations, additional documentation, care & maintenance and more.

Disbursements will be clearly stated in the auctioneers notes for each lot if this applies marked with “DIS”. To clarify, Disbursements or “DIS” charges are the additional charges the vendor places on any lot and is directly paid to the vendor from 365 Consultancy Ltd.

Any disbursement charges will be issued on the buyer’s invoice 2 of 2 please see for more information. Disbursement fees were set out shall be binding upon the bidder/account holder. Please take care to fully understand the additional charges in place before placing your bid.

In the event “DIS” is placed on a lot under auctioneers notes please refer to our important information to clarify what exactly the disbursement charges are for the lot you are interested in.

5. VAT Rates:

 

Unless otherwise stated, VAT will be added on top of the final hammer price charged at the current UK rate of 20%.

 

For more clarification please see the "Additional fees tab" of each item of interest prior to submitting any bid.

 

Collection of Items:

 

All item sold as "Reserve Met" or a "Provisional" bid accepted are to be collected / removed within 5 days after the end of sale unless otherwise stated on the item information.

 

6. Storage Fees:

 

Storage fees are charged immediately after payment deadline at the rates of £50+vat per day (lots below £10,000) and £100+vat per day (lots £10,000 and above). Storage fees incur after payment deadline with a minimum payment of 1 day.

The said storage fee is charged over a 7 day week, including all national holidays and items shall not be collected or delivered unless outstanding storage fees are settled in full prior to collection.

 

Items left onsite in any of our storage centres for the period exceeding 90 days without any contact or payment from the owner with regards to removing or to requesting a delivery, will be sold at auction to the highest bidder or disposed of as scrap, if there is still an outstanding balance the owner is liable to pay the balance in full 14 days. If the item should exceed the outstanding storage amount when a cheque will be posted to the buyer for the balance.

 

7. Delivery:

 

Buyer may request for delivery of any item once the item(s) have been paid for in full, interested buyers may contact 01638 475400 upon full payment for a delivery quote.

 

8. Payment Details:

 

For security purposes, All payments are to be made by bank transfer. Cash on arrival payment or card online payment by phone or in person is strictly prohibited.

9. Payment Deadline:

 

All payments are to be received in full latest by 5pm the following day after the end of sale. Any Bidder that will be unable to meet this strict payment deadline should refrain from bidding.

 

Failure to make the payment by the payment deadline - the vendor holds the right to remove the vehicle/item from the auction which will result in a cancellation fee owing (the Buyers Premium), this will need to be paid within 24hrs of receipt of the cancellation invoice, if the payment is made outside of the payment deadline and the item/vehicle has been removed from the auction a refund will be made minus the cancellation fee which is 365 Consultancy Ltd’s loss. If a Disbursement fee is in place this will also be charged. Administration fee is also non refundable therefore will be charged.  

 

Late payment fees:

 

Late payment fee's will apply if full payment is not received within the payment deadline set out for this sale, at a rate of 3%+ VAT per day. Charged over the total payable invoice amount. (See item information for payment deadline)

 

10. Request To Cancel The Sale / Contract:

 

In the event that a winning bidder, after winning and auction has ended, requests to cancel the Contract / Purchase of any lot(s) / item(s), the acceptability of this request shall be at auctioneer’s discretion. Where auctioneer concedes to the request, fees set out hereinafter will apply with no exceptions to void the sale:

 

A non-negotiable cancellation fee charged at the same rate of the buyer’s premium stated within the "additional fees tab" This would be charged to the bidder.

 

The bidder will be liable to pay for the "Re-Auction" entry fee, charged from £55 + vat to £200 + vat (Auction entry fee may vary depending on the item value)

 

11. Viewing:

 

All Bidders are advised to view any item of interest prior to bidding & the auction end. Viewing is only allowed during the viewing stage and shall not be permitted after the auction has ended.

12. Inspection:

 

Prospective bidders should make Inspection of any item of interest before committing to bid and end of sale. The inspection is to enable potential bidders form an independent opinion on items of interest and fully satisfy their selves.

 

Failure to view will fall on the bidder’s shoulders and against the advice of 365 Consultancy Ltd, No excuses will be tolerated.

 

VEHICLES / MACHINERY: Inspection by RAC, AA, GREEN FLAG or any other independent professional mechanic or expert shall also be permitted subject to potential bidder paying the cost for such inspections. This would be required to be carried out prior to bidding and the end of sale, no inspections will be allowed after the end of sale.

 

OTHER ITEMS: Viewing is advised on all items of interest prior to bidding, failure to do so is against the advice of 365 Consultancy Ltd.

 

Any such inspection can only be conducted upon booking an appointment and accompanied by any member of staff of 365 Consultancy Ltd.

13. Auctioneers Notes:

 

VEHICLES: Known mechanical faults will be advised under "Auctioneers Notes" OTHER ITEMS: Any known faults / defects will be advised under "Auctioneers Notes"

 

No inspection / grading or warranties will be supplied by 365 Consultancy Ltd.

 

14. Governing Laws:

 

Terms & Conditions contained herein are subject to all UK Laws and Regulations. It shall be immaterial whether or not such Purchaser is from overseas.

 

15. VAT Refund Info:

 

VAT will be refunded upon buyer meeting certain requirements and is at the auctioneers discretion wether a vat refund is given.

 

VAT is to be paid as shown on the face of the invoice,

 

The following information will be required of the buyer to be eligible for a VAT reform..

 

-Full (Non UK) VAT Number,

 

A bill of laden / Proof of export.

 

To process refund, VAT Numbers and any other documentation provided by the buyer will be handed to our Accountant for inspection before any refund.

 

VAT refund doesn’t cover additional charges but will only be recover the amount paid for the item. VAT refunds shall also be made only to the buyer of the item and not to any 3rd party.

 

VAT refunds will only be made where correct documents are supplied within the specified period in line with the regnant VAT rules in the U.K, ***

 

365 Consultancy Ltd may direct buyers to obtain refund directly from the U.K government.
VAT refunds criteria may change at any given time due to government legislation without prior warning.

 

16. After Auction:

 

When auction ends, invoice for any item(s) won whether by reserve met or provisional bid accepted for any item(s) won will be sent to the winners through the email address supplied on the bidders account only.

 

Full Payments are to be made latest by 5pm the following day after end of sale.
Collection details of purchased item will be forwarded to buyers via email upon full settlement of payment.

 

Where a bidder wins more than one item, all items will be shown on one invoice and considered as one transaction.

 

 

17. Invoice Details:

 

After sale has ended, the winning invoices will be issued. Any invoice will be made payable to 365 Consultancy Ltd account details provided within these terms set out.

 

Requests to alter or update invoice details can only be provided and carried out upon fully settling the original invoice, on the condition that any such change of details will incur a payment of £25 in addition to VAT administrative fee.

1. Types of Bidding:

2. Nature of auction:
Unless otherwise expressly stated, all auctions made pursuant to these terms shall be “trade only” sales and not “consumer sale”. When registering to bid you are declaring yourself as a "trade customer"
3. Binding nature of terms and conditions:
Every terms and conditions set out herein are binding and by registering to bid, all bidders agree to be bound by all of the terms and conditions and accept same as binding before registering to bid with the intention to buy.
No bidders account can / will be approved for bidding until the said bidder as fully agreed to all terms and conditions / terms of bidding, Bidders that have reservations or objections to any part or all of the terms and conditions set out herein, if a bidder should object please refrain from registering to bid as bidding constitutes an acceptance of all the terms and condition as binding. The binding nature of these terms extends to bidders bidding in person, online by simulcast or any other means agreed with the auctioneer in writing prior to submitting any bid.
Successful winning bidders agree that they have carefully studied and fully understand any item before bidding.
All bidders agree that except where there is a valid manufacturer’s warranty remaining or unless otherwise expressly stated in each individual item information, no item(s) are warranted or guaranteed by 365 CONSULTANCY LTD or the vendor.
4. Exclusion of Sales of goods Act:
The Sales of goods Act 1979 as amended by the sales and supply of goods act 1994) and the Unfair contract terms act Regulations,1977 / 1999 shall not apply to every sale made pursuant to this terms and conditions. The buyer shall have no right to rely upon any conditions or warranties implied thereby.
5. Online bidding information:
Online bidding information supplied are for guidance purposes only and shall not be relied upon by potential bidders neither shall it be deemed correct. All potential bidders are therefore advised not to rely on the online bidding information supplied.
All bidders are encouraged to make independent investigations for themselves to enable them to form a independent opinion before bidding. Failure to make such investigations put the bidders at their own risk and with no liability to 365 CONSULTANCY LTD or the vendor.

9. Registering to bid:
Bidding is not automatic but only possible after a registration process. Upon a bidder’s account being approved for bidding; such bidder becomes qualified to bid on any items of interest.
Further information may be required of any bidder account either through call or email.
Personal iBidder / BidSpotter account login details are to be kept strictly confidential by the account holder and not to be shared with anyone. The account holder shall bear responsibility for all bidding activities on their account. 11. Bidder’s age requirement:
The minimum age for bidding is ’18’ years old. In the event that anyone under the age of 18 places a bid and wins any item, the parent or guardian of such person will be liable to settle any outstanding invoices.
Where payment is not be received within the payment deadline, Court proceedings shall be instituted in the Parent / Guardian’s name without exception.
 
 
12. Bidding in physical and timed auctions:
It is hereby agreed that all bids shall without exception be valid and Vendors may at any given time during any live auction without notification alter or remove any set reserve price.
It is hereby further agreed that all bids submitted remains provisional until the reserve price has been paid before the end of sale.

VAT at the rate of 20% will be charged on all buyers’ premium commission charges and disbursement fees.
Bidders also have a responsibility to fully calculate the total amount including hammer / bid price, buyer’s commission and VAT where applicable.

Disbursements fees

These are the additional charges incurred by the purchaser at the fall of the hammer in addition to the standard buyer’s premium rates, administration charges and other standard costs of sale mentioned in our literature. Disbursement or “DIS” charges are set out by the vendor for a specific lot to recover charges they have incurred but are not limited to e.g. transportation, professional marketing costs, independent valuations, additional documentation, care & maintenance and more. Disbursements will be clearly stated in the auctioneers notes for each lot if this applies marked with “DIS”. To clarify, Disbursements or “DIS” charges are the additional charges the vendor places on any lot and is directly paid to the vendor from 365 Consultancy Ltd. Any disbursement charges will be issued on the buyer’s invoice 2 of 2 please see for more information. Disbursement fees were set out shall be binding upon the bidder/account holder. Please take care to fully understand the additional charges in place before placing your bid. In the event “DIS” is placed on a lot under auctioneers notes please refer to our important information to clarify what exactly the disbursement charges are for the lot you are interested in.

14. VAT Rates:
Unless otherwise stated, VAT will be added on top of the final hammer price charged at the current UK rate of 20%.
For more clarification, please see the "Additional fees tab" of each item of interest prior to submitting any bid.
15. Request for removal of bids:
Upon a bid being submitted, such bid remains valid without exception and shall not be removed or cancelled unless the bidder pays the Buyer’s Premium Commission which is otherwise referred to as ‘Cancellation Fee”.
16. Provisional bids / Reserve not met:
For the highest bidder in an auction at the end of sale, 365 Consultancy Ltd may contact vendors to allow time for the consideration of the bid.
All bids are valid with no exceptions and all provisional bids shall be responded to within 48 hours after the end of sale.
17. Reserve Met / On Sale:
36 Consultancy Ltd may upon any item meeting the set reserve price and such item being marked “On Sale”, subject to the auctioneer’s discretion any item may be invoiced before the end of sale.
Where any item is invoiced before the end of sale, the invoice is to be paid within 48 Hours, and other payment timelines contained in this terms and condition shall be inapplicable in this regard.
18. Buy-it-now:
Where there is a ‘Buy-it-now’ offer available, in respect of any item, any potential bidder shall note that all additional fees attached to the item are in all events payable on the ‘Buy it now’ price.
19. After winning any item:
Upon winning an item, an invoice will be sent to the winner through electronic mail only within 24 hours after the end of auction. Unless otherwise expressly stated, all invoices are to be paid in full by bank transfer only, not later than close of business (5pm) the following day. Cards payments are strictly prohibited.
20. Failure to make payment:
Non-payment is totally prohibited and failure to make full payment under these terms and conditions will result in the following.
The buyer shall on the day of cancellation, pay the buyer’s premium at the rate shown (auctions loss) in the items "additional fee tab" in the event that the account holder or any attached company decides for any reason to withdraw from the purchase.
21. Proceedings for non-payment:
County court proceedings will immediately be applied for CCJ / Bailiff / Sheriff action will be commenced to recover the outstanding fees in addition to the cost of instituting such actions and other incidental costs.
There shall be a period of 5 days (including weekends) for collection or arrangement of delivery with 365 Consultancy Ltd.
Where a legal action is instituted at the county court proceedings for outstanding fee’s, buyer shall be responsible for outstanding invoice amount, late payment fee’s, storage fee’s, legal fees to recover outstanding funds, buyer’s premium charged, interest on the total outstanding amount (at 8% per annum interest rate) and any other costs incurred.
22. Request to Cancel Sale:
In the event that a winning bidder, after winning and auction has ended, requests to cancel the Contract / Purchase of any item, the acceptability of this request shall be at auctioneer’s discretion. Where auctioneer concedes to the request, fees set out hereinafter will apply with no exceptions to void the sale:
A non-negotiable cancellation fee at the rate of the buyer’s premium stated within the "additional fees tab”.
The bidder will be liable to pay for the "Re-Auction" entry fee, charged from £55+vat to £200+vat (Auction entry fee. may vary depending on the item value) 
If a "disburesement fee" is in place this will also be charged furthermore the administration fee is non refundable so also will be charged if a cancellation is processed. If the bidder has not meet the payment deadline and therfore is charged a late payment fee this is non refundable and will still stand and be charged if a cancellation is processed/requested.
23. Deposit Request:
Auctioneer may ask any new or existing bidder for a £300 deposit from the account holder.
Such deposit shall be refunded by bank transfer to non-successful bidders within 48 hours of the end of auction sale. The deposit may not be refunded where the bidder desires to leave it on account.
24. Removal of Items:
Auctioneer may for any reason and at any given time remove any item from any current live auction.
25. Viewing items:
The buyer is strongly advised by to view item before bidding. Any Bidder that bids without prior viewing shall bear the responsibility for failure to exercise the right of viewing, and 365 Consultancy Ltd and the vendor shall incur no liability in this regard.

26. Mechanical inspection of items in person or by mechanic or expert.
Potential bidders shall upon booking an appointment, have the opportunity to have a mechanical inspection before submitting any bid. Such inspection may be conducted either in person or by professional mechanic or expert being AA - RAC - GREEN FLAG - OR ANY EXPERT OF THE POTENTIAL BIDDER / BUYERS CHOICE.
Any such inspection can only be conducted upon booking an appointment and accompanied by any member of staff of 365 Consultancy Ltd.
Any Bidder that bids without prior viewing shall bear the responsibility of failure to exercise the right of inspection, and 365 Consultancy Ltd or the vendor shall incur no liability in this regard. 27. Item testing.
Unless otherwise expressly stated in any item information, items are not tested by 365 Consultancy Ltd.
Bidders are encouraged to study item information before submitting any bid. Bidders are advised to view and test items before submitting bid.
Bidders are informed that vehicles shall not be tested or driven on public highways.
28. Images of Items.
Bidders are informed that all photos uploaded are strictly for the purpose of showing the interior and exterior of the items and should be treated only as guideline.
Bidders are also informed that library photos may be uploaded in some cases where it is difficult to obtain original images of the item.
Where example photos are used, this will be stated in the auctioneers notes, example photos may not represent a true example of the vehicle/item. Please contact the auctioneer for verification of the model as these may differ for each vehicle/item.
Bidders are further informed that damages to any item due to the item colour, photo angle or weather sometimes may be difficult to see in images.
Images may vary owing to weather conditions and 365 Consultancy Ltd shall bear no liability for any loss resulting from any such events.
Sunshine: Brighter / shiny
Cloudy: Darker / dull
Rain: Wet / shiny
29. Documentation of items.
Vehicle/Machinery: Item information will indicate the existence a V5 Logbook.
All items (where necessary) will be HPI checked, buyers may upon full payment, request a copy of the report of HPI check
Buyers are informed that all such reports shall be sent by email and hard copies where requested shall attract the rate of £20 including VAT.
30. Personal registration plates.
Where item contains personal registration number, it shall be stated on the lot description if the item are to be sold with the personal registration number.
Except where otherwise expressly stated, personal registration number will not be included in any sale.
365 Consultancy Ltd will require a NON-REFUNDABLE deposit to remove any personal registration number from any item not greater than £500 (if the item is less than £2000 (hammer price) then deposit of 10%) but no less than £100.
31. Auctioneer’s notes.
VEHICLES: Known mechanical faults will be advised under "Auctioneers Notes" OTHER ITEMS: Any known faults / defects will be advised under "Auctioneers Notes"
The account holder shall bear full responsibility for failure to read or fully understand this important information and 365 Consultancy Ltd or the vendor shall in no event be liable for any loss arising in this regard. If a disbursement fee is required it will state in the auctioneers notes as "DIS"
The Buyer shall require the following to collect or take delivery of item.
  • HI-VIS Jacket To Enter Our Storage Compounds
  •     Proof Of Payment (Copy Of Your Paid Invoice)      
  •     Appointment for Collection (No Appointment - No Collection)
 
32. Delivery of item
Arrangements may be made for delivery of items. Buyer should contact 365 Consultancy Ltd to make delivery arrangement, should the need arise.
33. Collecting motor vehicles / Plant and Machinery.
Where item to be collected requires road tax, buyer shall make arrangement for same before collection.
34. Valid Mot plate certificate:
If the item is not listed with any information concerning Mot plate certificate expiry; the buyer shall take this as is and 365 Consultancy Ltd will not be in a position to have this information.
All buyers must do all investigations to form an informed opinion on such item before bidding.
35. Correct Driving Licence HGV - PSV - LGV ETC.
Buyer agrees that by operation of law, some machinery require licenses and certificates before use.
Buyer shall have an obligation to investigate all legal requirements needed for machinery before collection.
36. Runner:
Where items are described as Runner / Runs and drives, this item will be deemed as one that starts and drives. This does not constitute an assurance that the items have been inspected or driven on a public highway.
It is hereby stated that such item could still be subject to defects. 
37. Non-Runner:
Where items are described as Non-Runner, such item shall be deemed for unknown reasons not to start or drive.
Unless otherwise expressly stated in item description,365 Consultancy Ltd shall bear no responsibility and potential buyer shall buy at their own risk.
38. Non-Runner inspection:
Mechanical inspection by potential buyers or mechanic shall be prohibited for Non-Runners, before or after bidding until such items have been removed from the premises of collection.
39. No keys:
Where item state no keys, such item cannot be inspected or tested and such items must be accepted as a non-runner.
40. V car register / Category hit list:
Where any item states V car category, it shall be interpreted that the vehicle is either damaged as at the time of sale or was previously damaged.
CAT A. Scrap only.
CAT B. Braking only.
CAT C / S. Damage repaired.
CAT D / N. Lighter damaged repaired.
All items registered on the V-CAR register will be stated under auctioneer’s remarks.
41. Recorded mileage or hours.
365 Consultancy Ltd undertakes to use its best endeavour to give accurate information on all items.
42. Mileage warranted / correct:
The mileage is deemed to be correct where it is warranted by the vendor.
43. Mileage verified:
The mileage is verified where it can be checked back through vosa mot history check and there are no mileage inconsistencies on the face of the vosa website.
44. Mileage un-verified / incorrect / implausible:
Mileage is unverified in situations where an item has no V5 Logbook to run a vosa mot history check, the vendor is not in a position to verify the mileage and the responsibility shall lie on the buyer to carry out their own independent investigations to form an opinion on the true mileage which shall in this situation be deemed unknown.
History checks weather vosa mot history check or any other checks show the true mileage which for all intents and purposes differs from the mileage shown on the odometer / clock.
45. Mileage un-known.
Buyers and potential buyers are strongly advised to beware of items with unknown mileage.
46. Mileage not displayed:
In situations where mileage is for any reason not displayed, it should be deemed that the mileage is completely unknown and 365 Consultancy Ltd makes no warranty on same.
47. Mileage incorrect:
Incorrectly stated mileage should be taken as read.
48. Disclaimer on Mileage
For all intent and purposes, the mileage and operating hours as stated are strictly for guidance purposes and should any readings be relied upon in forming an opinion on purchase. Bidders are advised to seek independent opinion and conduct thorough investigation before bidding for any item.
49. Mileage may increase:
Where auctioneer’s information states, ''mileage may increase'' on any item.
 
50. MOT Certificate for H.G.V:
365 Consultancy Ltd shall not be liable for any error or defects on any item. This exclusion of liability shall stand whether or not there is a valid Mot certificate.
Where summary fails to state the existence of a valid Mot certificate, it should be deemed either that there is no Mot certificate in respect of the item or that 365 Consultancy Ltd does not possess such.
The buyer should do due diligence to check online before bidding as such buyer shall take full responsibility for any inconsistencies on a Mot certificate.
51. Vendors:
Item may be from different sources and may be registered for auction through the following:
Private owner, Trader entry, Company direct, Finance company, Main dealer direct, Finance repossession, Salvage, Seized, and others alike.
52. Storage Fees:
Storage fees are charged immediately after payment deadline at the rates of £50+vat per day (lots below £10,000) and £100+vat per day (lots £10,000 and above). Storage fees incur after payment deadline with a minimum payment of 1 day.The said storage fee is charged over a 7 day week, including all national holidays and items shall not be collected or delivered unless outstanding storage fees are settled in full prior to collection.Items left onsite in any of our storage centres for the period exceeding 90 days without any contact or payment from the owner with regards to removing or to requesting a delivery, will be sold at auction to the highest bidder or disposed of as scrap, if there is still an outstanding balance the owner is liable to pay the balance in full 14 days. If the item should exceed the outstanding storage amount when a cheque will be posted to the buyer for the balance.
53. Refunds / Buy Backs / Renegotiations:
All purchases are full and final and there shall be no Refunds, Buy Backs or Renegotiations where the buyer is not satisfied with any purchase(s) made.
54. Update of Terms and Conditions
365 Consultancy Ltd may at any time without notification update terms and conditions. Returning bidder(s) should always ensure to keep abreast of any updated Terms and Conditions.
